1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “you”, or “your”) and The Office Assist (“VZBAL”, “we”, “us”, or “our”), governing your access to and use of the VZBAL business platform available at vzbal.in and all related applications and services (the “Service”).

By creating an account, clicking “I Agree”, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Service. If you are using the Service on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

VZBAL is a cloud-based business management platform that provides:

• Lead Management: CRM pipeline, lead capture, automated follow-ups, and AI lead scoring
• Workflow Management: No-code automation, task assignment, approvals, and escalation rules
• Agile Management: Sprint planning, Kanban boards, backlog grooming, and velocity tracking
• HR & Timesheet: Employee directory, attendance tracking, leave management, and payroll exports
• AI & Analytics: Natural language queries, dashboards, and business insights

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

3. Account Registration and Security

To use the Service, you must register for an account. You agree to:

• Provide accurate, complete, and current registration information
• Maintain the security of your account credentials and not share your password
• Promptly notify us at support@vzbal.in of any unauthorised access or security breach
• Take responsibility for all activity that occurs under your account

You may not create an account if you are under 18 years of age. Accounts may not be transferred to another party without our written consent.

4. Subscription Plans and Payment

4.1 Plans: The Service is offered under various subscription plans, including free trials and paid tiers. Details of current plans and pricing are available at vzbal.in/pricing.

4.2 Billing: Paid subscriptions are billed in advance on a monthly or annual basis. All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (including GST), which will be added where required.

4.3 Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel at any time through your account settings or by contacting us.

4.4 Refunds: All fees paid are non-refundable except as expressly set out in these Terms or as required by applicable law. If we discontinue the Service, we will provide a pro-rata refund for any unused prepaid subscription period.

4.5 Late payment: We reserve the right to suspend access if payment is not received within 10 days of the due date, and to terminate the account after 30 days of non-payment.

5. Acceptable Use

You agree to use the Service only for lawful business purposes. You must not:

• Use the Service to send spam, unsolicited messages, or bulk communications without recipient consent
• Violate any applicable law, regulation, or third-party rights (including privacy, intellectual property, or data protection laws)
• Upload or transmit viruses, malware, or any malicious code
• Attempt to gain unauthorised access to the Service, other accounts, or our infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to store or process sensitive personal data (e.g. financial account numbers, health data, government IDs) except as expressly permitted
• Resell, sublicense, or otherwise make the Service available to third parties without our written consent
• Use automated tools to scrape, crawl, or extract data from the Service
• Impersonate any person or entity or misrepresent your affiliation

Violation of this section may result in immediate suspension or termination of your account without refund.

6. Customer Data and Ownership

6.1 Your data: You retain all ownership rights to the business data you input into the Service (“Customer Data”). You grant VZBAL a limited, non-exclusive licence to store, process, and display Customer Data solely to provide the Service to you.

6.2 Data responsibility: You are responsible for the accuracy and legality of Customer Data, including obtaining any necessary consents from individuals whose data you input (such as leads, employees, or clients).

6.3 Data export: You may export your Customer Data at any time through the platform. Upon termination, we will make your data available for export for 90 days, after which it will be deleted per our Privacy Policy.

6.4 Anonymised data: We may use aggregated, anonymised, and non-identifiable data derived from Customer Data to improve and develop our Service.

7. Intellectual Property

7.1 Our IP: The Service, including its software, design, trademarks, and content, is owned by The Office Assist and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property other than the limited licence to use the Service.

7.2 Feedback: If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use and incorporate such feedback into the Service without restriction or compensation to you.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law.

9. Integrations and Third-Party Services

The Service may integrate with third-party services (e.g. WhatsApp Business API, payment gateways). Your use of such integrations is subject to the terms and privacy policies of those third parties. We are not responsible for the performance, availability, or content of third-party services.

10. Availability and Uptime

We aim to maintain high availability of the Service (targeting 99.5% uptime per month, excluding scheduled maintenance). However, we do not guarantee uninterrupted or error-free access. Scheduled maintenance will be communicated in advance where possible. We are not liable for downtime caused by factors outside our reasonable control.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR MEET YOUR SPECIFIC REQUIREMENTS.

AI-generated insights and suggestions within the platform are provided for informational purposes only and should not be relied upon as professional advice (legal, financial, HR, or otherwise).

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VZBAL'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

IN NO EVENT WILL VZBAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless VZBAL, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your Customer Data.

14. Term and Termination

14.1 Term: These Terms remain in effect for the duration of your subscription.

14.2 Termination by you: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.

14.3 Termination by us: We may suspend or terminate your account immediately if you breach these Terms, fail to pay, or if we are required to do so by law. We will provide notice where reasonably practicable.

14.4 Effect of termination: Upon termination, your right to use the Service ceases. Sections 6.3, 7, 8, 11, 12, 13, and 17 survive termination.

15. Modifications to Terms

We may update these Terms from time to time. We will provide at least 14 days' notice of material changes by email or in-app notification. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you may terminate your subscription before the effective date.

16. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes arising out of or related to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.

Before initiating formal legal proceedings, you agree to attempt to resolve disputes informally by contacting us at support@vzbal.in. We will make good-faith efforts to resolve the dispute within 30 days.

17. General Provisions

• Entire agreement: These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and VZBAL regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger or acquisition.
• Force majeure: Neither party is liable for failures caused by events beyond reasonable control (natural disasters, government actions, internet outages).
• Notices: Notices to you will be sent to the email address on your account. Notices to us should be sent to support@vzbal.in.
